Can a paralegal give you corporate documents cheaper than the amount we charge? Yes. But paralegals prepare “one-size-fits-all” word-processing documents. We actually understand the documents we prepare, and by the way, we will not let you leave our office until you understand your documents too. There are two main reasons to incorporate: tax benefits and limited liability. We work with your tax professional to be sure the documents we provide get you the best possible tax benefit. A corporate attorney’s job is to form the tightest corporation possible to get you the most asset protection possible. The corporate statutes are easy to follow; but that is not even half the job. Literally, in Arizona you just have to file simple articles of incorporation or organization, pay the filing fee and publish those articles to establish your corporation with the State of Arizona Corporation Commission. But this does not protect your assets; it merely erects a “shell” corporation. Without doing more; without satisfying the requirements necessary under corporate law principles developed in our courts, you do not secure protection for your personal assets. Without meeting minutes, bylaws, stock certificates, and other documents, tailored to your particular needs, when you are sued the court may set aside the corporation and allow the other side to attach your personal assets such as your home, your car, your bank account, investments and those of your spouse.
